myNISD Terms of Use

Recitals

"myNISD" is a membership site service operated by Nisshinbo Micro Devices Inc. ("we", "us" or "our"). Any person using myNISD ("Member") is deemed to have read and agreed to these myNISD Terms of Use. By using myNISD, Member also agrees to Nisshinbo Micro Devices’ website "Terms and Conditions of Use" including "Cookie Policy." We may revise myNISD Terms of Use at any time without any prior notice, so please review the latest Terms of Use.

Contents of Service

myNISD provides electronic component users with reference materials and tools for component selection and board design, as well as technical documentation. To use myNISD, you must register for an account.

Account Registration and Change (Eligibility)

If you register, you must fill in the required information on myNISD's registration form and submit it. If Member's registration information changes, Member must promptly update Member's registration information of myNISD. We reserve the right to refuse registration to any applicant if we determine that the applicant falls under any of the following, or is likely to fall under any of the following. We shall not be liable for any refusal of registration, nor shall it be liable to explain the reasons for such refusal, and the applicant shall not object to such refusal.

  1. When we determine that you have committed or are likely to commit an act in violation of these Terms of Use.
  2. If there is any untrue, incorrect, or incomplete information in all or any part of the registration information provided to us.
  3. When we deem the registration to be inappropriate.

Account Management

Member shall manage Member's ID and password and shall not disclose them to any third party. IDs and passwords may only be used by Members who have applied for registration, and may not be transferred or lent to third parties. If Member forgets Member's ID and password or becomes aware that Member's ID and password are being used by a third party, Member must immediately notify us. Member shall be responsible for any damage caused by, including, but not limited to, inadequate management or error in use of Member's ID or password, or use of Member's ID or password by a third party.

Prohibitions

In using myNISD, Member shall not engage in any of the following acts or any conducts that may lead to such acts.

  1. Acts that violate any applicable laws and regulations, and acts that solicit or encourage illegal activities.
  2. Acts that unreasonably interfere with the operation of myNISD, other Members, or the network system of myNISD.
  3. Acts that infringe on the property, privacy, intellectual property, or other rights of us, other Members, or third parties.
  4. Acts that slander, threaten, harass, or otherwise cause mental damage or disadvantage to us, other Members, or third parties.
  5. Acts of using myNISD by improperly using another Member's ID or password.
  6. Acts that transfer or allow third parties to use Member's ID or password.
  7. Acts against public order and morals.
  8. Acts of reproduction, sale, publication, or any other use of information obtained through myNISD beyond the scope of private use.
  9. Acts other than the above that we deem inappropriate.

Account Deletion

We may immediately delete Member's account of myNISD without prior notice to Member if any of the following events occur.

  1. Member's information registerd with us is untrue.
  2. Member violates these Terms of Use.
  3. Member do not respond to our inquiries or other communications requesting a response for 30 days or more.
  4. We deem that the use of myNISD or the continuation of Member's registration is inappropriate.

Change, Interruption, or Termination of myNISD

We may change, add, or delete all or any part of the contents of myNISD without prior notice to Member. We may suspend all or any part of the contents of myNISD without prior notice in the event of maintenance, inspection, or repair of equipment used for myNISD, in the event of malfunctions in communication networks or internet service providers, or when we deem it necessary to do so. We shall not be liable for any damages incurred by Member due to changes, additions, deletions of the contents of myNISD, or temporary suspension of myNISD. We may terminate myNISD with at least 30 days' prior notice to Member.

Restriction or Suspension of Use of myNISD

We reserve the right to restrict or suspend all or any part of myNISD.

Withdrawal

Member may terminate their use of myNISD any time by requesting the withdrawal procedures specified by us. When Member withdraws from myNISD, Member will no longer be able to use any services that Member has used, such as bookmark of favarite pages.

Prohibition of Transfer of Rights and Obligations

Member may not transfer Member's contractual status or rights or obligations under myNISD Terms of Use to a third party or offer them as collateral without the prior written consent of us.

Disclaimer of Liability

We make no warranty, either explicitly or implicitly, that myNISD will be suitable for a particular purpose of Member, that myNISD will have the expected functions, commercial value, accuracy, or usefulness, or that Member's use of services will conform to applicable laws, regulations, or internal rules of any industry organization. Any transactions, communications, or disputes between Member and other Members or third parties in connection with myNISD shall be resolved by Member at Member's own risk. We are not responsible for the content of third-party websites linked by myNISD ("Linked Sites"), nor are we responsible for any damages resulting from the use of Linked Sites.

Handling of Personal Information

Our handling of Member's personal information is stipulated separately in "Handling of Personal Information", and Member agrees that we handle Member's personal information in accordance with this "Handling of Personal Information."

Dispute Resolution

Any dispute arising out of or in connection with myNISD shall be subject to the exclusive jurisdiction of the Court having jurisdiction over the location of our head office.
